1. Agreement to These Terms

These Terms of Service ("Terms") form a binding legal agreement between you and Gigz Technologies Inc., a Delaware corporation doing business as tourQ ("tourQ," "we," "us," or "our"). They govern your access to and use of the tourQ websites (including tourq.co and any subdomains), mobile and desktop applications, APIs, AI features, marketplace tools, ticketing tools, voting and fan-engagement features, and any other products, features, or content we provide that link to these Terms (collectively, the "Services").

Please read these Terms carefully. They include important provisions about how disputes are resolved, including a binding arbitration clause and a class action waiver (Section 26).

By creating a tourQ account, accessing or using the Services, clicking "I agree," or otherwise indicating your acceptance, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you are using the Services on behalf of an organization (such as an artist's management, a venue, a festival, or any other entity), you represent that you have authority to bind that organization, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, you may not use the Services.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old (or, for fan-engagement features only, at least 16 years old or the higher minimum age required under applicable law);
  • Be capable of entering into a binding contract under the laws of your jurisdiction;
  • Not be barred from using the Services under U.S. or other applicable law (including being on any restricted-party or sanctions list); and
  • Not have been previously suspended or removed from the Services.

By using the Services, you represent that you meet these requirements.

3. Definitions

For purposes of these Terms:

  • "Account" means a registered tourQ user account.
  • "Artist User" means a user representing a recording or performing artist.
  • "Venue User" means a user representing a venue or talent buyer.
  • "Festival User" means a user representing a festival, promoter, or production company.
  • "Fan User" means a user accessing fan-facing features such as voting, ticketing, or engagement campaigns.
  • "Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, AI prompts, or other materials.
  • "User Content" means Content submitted, uploaded, or transmitted by you through the Services.
  • "tourQ Content" means Content owned, created, or licensed by tourQ, including our software, predictions, recommendations, AI outputs (subject to Section 8), branding, and proprietary datasets.
  • "Third-Party Content" means Content owned by third parties that we license, aggregate, or otherwise provide access to (such as Pollstar data, Spotify data, Soundcharts data, Bandsintown data, and similar).
  • "Subscription" means a paid plan for the Services.

4. Accounts and Roles

4.1 Account creation

To access most features of the Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

4.2 Account types

The Services offer different account types with different features and obligations:

  • Artist Accounts are for verified recording or performing artists and their authorized representatives. Artist Accounts may include access to tourQbuilder, tourQtickets, tourQbooks, tourQchat, marketing tools, and related features.
  • Venue Accounts are for venues, talent buyers, and their staff. Venue Accounts may include proposal management, calendar management, artist discovery, and related features.
  • Festival Accounts are for festival producers and their organizations. Festival Accounts may include lineup management, multi-edition tools, and related features.
  • Fan Accounts are for members of the public participating in voting, ticketing, or engagement features.

We may offer additional or modified account types from time to time.

4.3 Verification

Certain account types and features require verification. We may require you to provide documentation (such as proof of authority to represent an artist, government identification, or business registration) before granting access. We reserve the right to refuse, suspend, or revoke verification at any time at our discretion.

4.4 Account security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to:

  • Use a strong, unique password;
  • Enable multi-factor authentication where offered;
  • Not share your credentials with any third party;
  • Notify us immediately at support@tourq.co of any unauthorized access or use.

tourQ is not liable for any loss or damage arising from your failure to safeguard your Account.

4.5 One person, one Account

You may not maintain more than one Account of the same type unless we expressly authorize it. You may not create an Account using automated means or under false pretenses.

5. Subscriptions, Plans, and Billing

5.1 Plans

We offer free and paid plans. The features included in each plan are described at tourq.co/pricing and may change from time to time. We will give reasonable notice of material changes to plans you are subscribed to.

5.2 Free tier

The free tier is offered subject to feature limits, usage caps, and other restrictions described in-product. We may modify or discontinue the free tier at any time.

5.3 Paid subscriptions

If you subscribe to a paid plan, you agree to pay all applicable fees in accordance with the pricing and billing terms displayed at the time of subscription. Fees are exclusive of taxes; you are responsible for all applicable taxes (other than taxes on our income).

Subscriptions automatically renew at the end of each billing cycle (monthly or annually, as selected) unless you cancel before the renewal date. You authorize us to charge your designated payment method for renewals.

5.4 Free trials and promotional credits

If we offer a free trial or promotional credit, the terms of the offer will be specified at the time. Free trials automatically convert to paid subscriptions unless you cancel before the trial ends. We may modify or terminate free trial offers at any time.

5.5 Price changes

We may change subscription pricing at any time, with at least 30 days' notice for existing subscribers. If you do not agree to the new pricing, you may cancel before the change takes effect.

5.6 Refunds

Except where required by law, all fees are non-refundable. We may offer prorated refunds or credits in our sole discretion (such as for an annual plan canceled mid-term due to extraordinary circumstances).

5.7 Failed payments

If a payment fails, we may suspend or downgrade your Account until payment is successful. We may also charge interest and reasonable collection costs on overdue amounts to the extent permitted by law.

5.8 Cancellation

You may cancel a paid subscription at any time through your Account settings. Cancellation takes effect at the end of your current billing cycle; you will retain access to paid features until then.

6. Marketplace, Proposals, and Bookings

6.1 tourQ is a platform, not a party to user agreements

tourQ provides tools to help Artist Users, Venue Users, and Festival Users discover one another, communicate, negotiate, exchange proposals, manage contracts, and process payments. Any agreement reached between two or more users through the Services is between those users only. tourQ is not a party to such agreements, does not guarantee performance, and does not assume any obligations or liabilities arising from them.

6.2 No guarantee of bookings or outcomes

We do not guarantee that an Artist User will be offered a booking by any Venue or Festival User, that a Venue or Festival User will receive a proposal from any Artist User, that any proposal will be accepted, or that any specific commercial outcome will result from your use of the Services.

6.3 Your responsibility

You are solely responsible for: (a) the accuracy and legality of any information, proposal, contract, or representation you submit through the Services; (b) the performance of any agreement you enter into with another user; (c) all applicable taxes, licenses, permits, and regulatory compliance (such as performance rights, immigration, work visas, alcohol licensing, and crowd safety); and (d) any disputes with other users.

6.4 Contracts generated through the Services

The Services may help you generate, redline, or manage contracts. Any contract templates or AI-assisted drafting tools are provided for convenience only. They are not legal advice and do not substitute for review by a qualified attorney. tourQ disclaims responsibility for the enforceability, completeness, or suitability of any contract drafted or stored through the Services.

7. Payments, Settlements, and Ticketing

7.1 Payment processing

Payments processed through the Services are handled by our third-party payment processor, Stripe. By using payment features, you agree to Stripe's Services Agreement and Privacy Policy. tourQ does not store full card numbers or bank credentials.

7.2 Settlements

Where the Services facilitate settlement between Artist Users, Venue Users, or Festival Users, tourQ acts only as a facilitator. We are not a bank, money transmitter, escrow agent, or fiduciary. The parties to a settlement are responsible for verifying the accuracy of any settlement statement and for resolving disputes among themselves.

In jurisdictions where money-transmission licensing applies, tourQ partners with licensed providers; the licensed provider, not tourQ, holds and transfers funds.

7.3 Ticketing

If you use the Services to sell, distribute, or purchase tickets:

  • Ticket sales are made by the Artist, Venue, or Festival hosting the relevant event, not by tourQ.
  • Ticket buyers are subject to the event's terms, including refund, exchange, and conduct policies. Refund decisions are made by the event organizer; tourQ does not have authority to issue refunds on the organizer's behalf except where required by law or by agreement with the organizer.
  • Event organizers are responsible for compliance with all applicable laws governing ticketing (including resale, anti-scalping, accessibility, and consumer-protection laws).
  • tourQ may charge service fees and platform fees as described at the point of sale.

7.4 Chargebacks and fraud

You agree not to initiate fraudulent chargebacks. If a chargeback is filed against a payment you owe, we may suspend your Account, recover the disputed amount and associated fees, and pursue other available remedies.

8. AI Features, Predictions, and Recommendations

8.1 Description

The Services include AI-powered features that produce predictions, recommendations, scores, summaries, drafts, generated images, and other outputs ("AI Outputs"). These features include but are not limited to: market and ticket sales predictions, demand scoring, venue fit scoring, peer benchmarking, AI marketing tools, AI-generated posters and social content, AI chat assistants, and booking strategy synthesis.

8.2 No guarantees; not advice

AI Outputs are probabilistic and informational, not promises or professional advice. Predicted ticket counts, revenue forecasts, fit scores, confidence levels, suggested booking strategies, and similar outputs may be inaccurate, incomplete, or out of date. They reflect modeling against available data, which may include limitations, biases, or errors.

You should not rely on AI Outputs as the sole basis for any financial, contractual, operational, legal, medical, or other decision. You are responsible for independently verifying AI Outputs before acting on them.

8.3 Ownership of AI Outputs

Subject to your compliance with these Terms, you own the AI Outputs generated specifically for you in response to your prompts, except to the extent third-party rights or applicable law prevent ownership (for example, U.S. copyright law currently does not recognize copyright in purely AI-generated works without sufficient human authorship). You grant tourQ a non-exclusive, worldwide, royalty-free license to use AI Outputs in aggregated or de-identified form to improve the Services.

8.4 Restrictions on AI use

You agree not to use AI features to: (a) generate content that infringes third-party rights; (b) impersonate any real person; (c) generate sexual content involving minors or non-consensual content; (d) generate hateful, harassing, or violent content; (e) generate misleading content for deceptive purposes; (f) extract or replicate tourQ's underlying models; or (g) violate applicable law.

8.5 No solely automated decisions

Where AI Outputs influence decisions that affect you, you have the right to request human review by contacting support@tourq.co.

9. Third-Party Data and Integrations

The Services incorporate data and content from third parties, including Pollstar, Soundcharts, Bandsintown, Ticketmaster, Setlist.fm, Spotify, YouTube, TikTok, Instagram, Facebook, X (Twitter), Audiomack, Deezer, Pandora, Last.fm, and similar providers ("Third-Party Data").

Third-Party Data is provided "as is" without warranty of any kind. We do not guarantee its accuracy, completeness, timeliness, or availability. We are not responsible for any third party's acts or omissions.

If you connect a third-party integration to your Account, your use of that integration is also governed by the third party's terms. You authorize us to access, store, and transmit information through the integration as needed to provide the Service.

We may discontinue or modify integrations at any time.

10. Voting, Contests, and Fan Engagement

The Services may include voting, contest, and fan-engagement features (such as fan lineup voting for festivals).

10.1 No representation of binding outcome

Unless we expressly state otherwise in the official rules of a specific feature, voting and engagement results are advisory. They inform but do not determine final booking decisions. Final booking decisions remain with the artists, venues, festival producers, and rights holders involved.

10.2 Anti-fraud

We use cookies, account verification, email verification, device fingerprinting, behavioral analysis, and other techniques to detect and prevent vote manipulation, ballot stuffing, bot activity, and similar abuse. We reserve the right to disqualify votes, suspend Accounts, and invalidate results in cases of suspected abuse.

10.3 Vote-stacking and bonus economies

Features that allow vote stacking, bonus votes, share-to-earn mechanics, or similar reward systems are subject to the rules disclosed in the feature. We may modify the rules of such features at any time. Engagement-weighted results do not reflect a simple per-person preference count; we will disclose how results are computed where they are publicly displayed.

10.4 Specific contest rules

Individual contests, sweepstakes, or campaigns may have additional Official Rules, which will be posted with the feature and will control in case of conflict with these Terms.

11. Acceptable Use

You agree to use the Services lawfully, honestly, and respectfully. You will not:

  • Violate any applicable law, regulation, or third-party right;
  • Impersonate any person or misrepresent your affiliation with any person or organization;
  • Claim to represent an artist, venue, festival, brand, or other entity without authorization;
  • Submit false, misleading, defamatory, fraudulent, or deceptive information;
  • Manipulate votes, leaderboards, ratings, predictions, or other engagement signals;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Attempt to gain unauthorized access to any portion of the Services or any related system;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying models of the Services, except to the extent that applicable law expressly permits;
  • Use the Services to develop a competing product, train a competing AI model, or extract data for the purpose of resale or republication;
  • Use any automated means (such as bots, scrapers, spiders, crawlers, or harvesters) to access the Services except where we have given you express written permission or where you are accessing pages designed to be machine-readable in accordance with our robots.txt and applicable terms;
  • Send spam, phishing, malware, or other malicious communications;
  • Harass, threaten, abuse, defame, stalk, or violate the privacy of others;
  • Generate or distribute content that is illegal, infringing, hateful, sexually explicit involving minors, violent, or otherwise objectionable;
  • Circumvent rate limits, plan restrictions, paywalls, geographic restrictions, or other technical limitations;
  • Use the Services to violate sanctions or export-control laws;
  • Resell, sublicense, or transfer access to the Services without our written permission.

We may investigate and take action against suspected violations, including suspending or terminating Accounts, removing content, restricting access, and reporting to law enforcement.

12. User Content

12.1 Ownership

You retain ownership of all User Content you submit, subject to the licenses below. tourQ does not claim ownership of your User Content.

12.2 License to tourQ

You grant tourQ a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works from, transmit, display, and distribute your User Content solely as necessary to operate, provide, improve, and market the Services. This license includes, for example, displaying your User Content to other authorized users, processing it through our AI features (if you have submitted it as a prompt or input), generating derivative outputs in response to your requests, backing it up, and analyzing it in aggregated or de-identified form.

You may revoke this license by deleting your User Content from the Services, except where (a) we have shared User Content with another user who continues to retain a copy under their own license, (b) we have retained backups or aggregated derivatives as permitted, or (c) we are required to retain it by law.

12.3 License to other users

For User Content you choose to share with other users (such as proposals, contracts, public ballots, public profiles, or messages), you grant those users the rights necessary to view and interact with the User Content as intended by the feature.

12.4 Representations

You represent and warrant that: (a) you own or have all necessary rights to your User Content; (b) your User Content does not infringe or violate any third-party right; and (c) your User Content does not violate these Terms or applicable law.

12.5 Removal

We may remove or restrict access to User Content at our discretion, including in response to legal process, suspected violation of these Terms, or harm to users or to tourQ.

13. Intellectual Property

13.1 tourQ's rights

The Services, including all software, design, text, graphics, AI models, predictions, recommendations, datasets, branding, logos, and other materials (other than Third-Party Data and User Content), are owned by tourQ or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.

You may not copy, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Services except as expressly permitted.

13.2 Trademarks

"tourQ," "tourQbuilder," "tourQtickets," "tourQbooks," "tourQchat," "tourQmarketplace," "tourQtours," "tourQ Score," and related names, logos, and slogans are trademarks of Gigz Technologies Inc. You may not use them without our prior written permission.

13.3 Feedback

If you submit feedback, suggestions, or ideas about the Services, you grant tourQ a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use the feedback for any purpose, without obligation or compensation to you.

13.4 DMCA / Copyright complaints

If you believe content on the Services infringes your copyright, send a written notice to our designated agent that includes the elements required under 17 U.S.C. § 512(c)(3):

We will respond to valid notices in accordance with the Digital Millennium Copyright Act. We may terminate repeat infringers.

If you believe content of yours has been removed in error, you may submit a counter-notice.

14. Beta Features

We may offer features, products, or services labeled as "beta," "preview," "early access," "experimental," or similar ("Beta Features"). Beta Features are provided "as is" and "as available," may be modified or discontinued at any time, and may not function reliably. Information you generate or rely on through Beta Features may be lost. Use Beta Features at your own risk.

15. Communications

By creating an Account, you agree that we may send you communications relating to the Services, including transactional emails, security notices, billing notices, and service updates. We may also send marketing communications subject to your preferences and applicable law.

You may opt out of marketing communications at any time. You may not opt out of transactional communications while you maintain an Account.

We may use SMS, push notifications, in-product messages, and other channels in addition to email. Standard messaging rates may apply.

16. Privacy

Your use of the Services is also governed by our Privacy Policy.

17. Confidentiality

Through your use of the Services, you may have access to information of other users that is confidential, sensitive, or competitively valuable (such as proposed deal terms, settlement statements, contact details, or non-public market information). You agree to use such information only as necessary to use the Services as intended, to safeguard it appropriately, and not to disclose or misappropriate it. This obligation continues after your use of the Services ends.

18. Termination

18.1 Termination by you

You may terminate your Account at any time by following the in-product cancellation process or by contacting support@tourq.co. Termination of a paid subscription takes effect at the end of the current billing cycle.

18.2 Termination by us

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, presented a risk to the Services or to other users, or for any other reason at our discretion. We will use reasonable efforts to give notice where appropriate.

18.3 Effect of termination

Upon termination, your right to use the Services ends. We may delete your Account and User Content subject to the retention provisions of our Privacy Policy. Provisions that by their nature should survive termination (including Sections 7, 8, 12, 13, 17, 19, 20, 21, 22, 24, 25, 26, 27, and 31) will survive.

19. Disclaimers

THE SERVICES, AI OUTPUTS, AND ALL THIRD-PARTY DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, TOURQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND TITLE.

WITHOUT LIMITING THE FOREGOING, TOURQ DOES NOT WARRANT THAT:

  • The Services will meet your requirements or expectations;
  • The Services will be uninterrupted, secure, timely, or error-free;
  • The information, predictions, recommendations, or AI Outputs are accurate, complete, current, or reliable;
  • Any bookings, deals, ticket sales, votes, or other outcomes will be achieved;
  • Third-Party Data is accurate, complete, or current;
  • Any errors will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent that the disclaimers in this Section are not permitted, those disclaimers are limited to the maximum extent permitted by law.

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOURQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including lost profits, lost revenue, lost business opportunity, lost goodwill, lost data, or cost of substitute services, even if advised of the possibility of such damages.
  • ANY DAMAGES ARISING FROM AI OUTPUTS, predictions, recommendations, forecasted ticket sales, demand scores, fit scores, suggested deals, or other inferential or probabilistic outputs.
  • ANY DAMAGES ARISING FROM USER-TO-USER AGREEMENTS entered into through the Services, including disputes over performance, payment, or breach of contract between users.
  • ANY DAMAGES ARISING FROM THIRD-PARTY DATA OR THIRD-PARTY INTEGRATIONS.
  • ANY DAMAGES ARISING FROM EVENTS, PERFORMANCES, OR TICKETING TRANSACTIONS facilitated through the Services.

OUR TOTAL CUMULATIVE LIABILITY for any claim arising out of or relating to the Services or these Terms is limited to the greater of (a) the amount you paid to tourQ for the Services in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

The limitations in this Section apply to all claims under any legal theory (including contract, tort, statute, or otherwise), even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent that the limitations in this Section are not permitted, they are limited to the maximum extent permitted by law.

21. Indemnification

You agree to indemnify, defend, and hold harmless tourQ and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Services;
  • Your violation of these Terms;
  • Your violation of any applicable law or third-party right;
  • Your User Content;
  • Any agreement you enter into with another user;
  • Any event, performance, ticket sale, or settlement facilitated through your use of the Services;
  • Any taxes you owe in connection with your use of the Services.

We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate.

22. Export Controls and Sanctions

You agree to comply with all applicable export, re-export, and sanctions laws, including those of the United States. You represent that you are not located in a country subject to U.S. embargo or that has been designated by the U.S. government as supporting terrorism, and that you are not listed on any U.S. government list of prohibited or restricted parties. You may not use the Services in violation of such laws.

23. Government Users

If you are a U.S. federal, state, or local government entity, the Services are licensed as "commercial computer software" subject to the restrictions of these Terms, in accordance with FAR 12.212 and DFARS 227.7202 as applicable.

24. Force Majeure

Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, accidents, strikes, internet or telecommunications failures, pandemics, or third-party service outages.

25. Notices

We may send notices to you by email (to the address associated with your Account), by posting to the Services, or by any other reasonable means. You may send notices to us at:

26. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

26.1 Informal resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@tourq.co. We will attempt to resolve the dispute by negotiating in good faith for at least 60 days before either party may initiate arbitration.

26.2 Binding arbitration

Except for the Excluded Claims in Section 26.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved by binding individual arbitration administered by JAMS under its applicable rules. The arbitration will be conducted in Los Angeles, California, or, at your election if you are a consumer, in your county of residence, and may be conducted by telephone, online, or in person. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

The Federal Arbitration Act governs the interpretation and enforcement of this Section.

26.3 Class action waiver

YOU AND TOURQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

26.4 Excluded claims

The following are not subject to arbitration: (a) claims for injunctive or equitable relief related to intellectual property or unauthorized access to the Services; (b) small-claims-court actions within the small-claims court's jurisdiction; (c) claims that cannot be arbitrated as a matter of law.

26.5 Opt-out

You may opt out of the arbitration and class-action waiver provisions of this Section by sending written notice to legal@tourq.co within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

26.6 30-day right to reject changes

If we make a future change to this Section 26 (other than a change to our notice address), you may reject the change by sending us written notice within 30 days. Your rejection will not terminate your Account; the prior version of this Section 26 will continue to apply.

27. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to Section 26, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any matter not subject to arbitration. You consent to personal jurisdiction in those courts.

For users in the EEA, UK, or other jurisdictions where mandatory local consumer-protection laws apply, you may also have the protections of those laws to the extent they cannot be waived.

28. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms with a new "Last updated" date. If the changes are material, we will provide additional notice (such as an in-product banner or email) and may require you to re-accept them.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services.

29. Assignment

You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, financing, reorganization, or sale of assets.

30. Relationship of the Parties

You and tourQ are independent contractors. These Terms do not create any partnership, joint venture, employment, agency, or franchise relationship.

31. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any additional terms agreed to in writing, constitute the entire agreement between you and tourQ regarding the Services and supersede all prior agreements.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver.

Headings. Headings are for convenience only and do not affect interpretation.

No third-party beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights.

Interpretation. "Including" means "including without limitation." Words in the singular include the plural and vice versa.

Language. These Terms are written in English. Any translation is for convenience only; the English version controls.
