tourQ — Terms of Service

These Terms of Service ("Terms") are a contract between you and Gigz Technologies Inc., d/b/a tourQ ("tourQ," "we," "us"). They govern your use of tourq.co, app.tourq.co, and the tourQ platform. By creating an account or using the platform, you agree to them. If you are agreeing on behalf of a company, venue or artist entity, you confirm you are authorized to bind it.
Ticket purchases on our public marketplace are additionally governed by the tourQtickets Terms and Refund Policy. Our Privacy Policy describes how we handle information.
1. What tourQ is — and what it is not
tourQ is a technology platform for the live-music business. Artists use it to plan routing and book shows, venues use it to fill dates and manage events, and event producers use it to run festivals and multi-act events. It provides the tools that generate, deliver and record agreements between those parties, and it can sell tickets on an organizer's behalf.
tourQ is not a party to any booking. We are not a booking agent, talent agency, promoter, employer, or representative of any artist, venue or producer. When you make an offer, accept a proposal, or sign a contract through the platform, that agreement is between you and the other party only. We have no obligation or liability for either party's performance or failure to perform. This mirrors the platform-role clause included in every contract generated on tourQ.
We do not provide legal, accounting, tax or financial advice. Have your agreements and their financial terms reviewed by your own licensed professionals.
2. Eligibility and your account
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your password secure, and for everything that happens under your account. Tell us promptly if you believe your account has been compromised.
If you invite team members into a workspace, you are responsible for their use of it, and for removing their access when they leave.
3. Subscriptions, fees and billing
Some features are free and others require a paid plan or add-on. Current plans, prices and what each includes are listed on our pricing page and shown before you subscribe.
- Paid plans renew automatically for the billing period you selected until you cancel.
- You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Except where required by law or stated otherwise at purchase, fees already paid are not refunded for partial periods.
- Free trials, where offered, convert to a paid plan at the end of the trial unless you cancel first.
- We may change prices. We will give you notice before a change affects your renewal, and you may cancel rather than accept it.
- Subscription payments are processed by Stripe. Taxes may be added where applicable.
4. Ticketing and money we handle for you
If you sell tickets through tourQ, you are the organizer of that event and you are responsible for it: for delivering the event, for the accuracy of what you advertise, for honouring valid tickets, and for handling cancellations and refunds in line with the published refund policy. tourQ acts as your authorized sales agent for those transactions.
Ticket proceeds, guarantees and settlement payouts are moved through Stripe. To receive money you must complete Stripe's onboarding and identity verification, and you agree to Stripe's own terms. We may hold, delay or reverse a payout where we reasonably suspect fraud, a chargeback risk, or a breach of these Terms, or where we are required to by law or by our payment processor.
Fees applicable to ticket sales are disclosed at the point of sale and in the tourQtickets Terms. You are responsible for any sales, amusement or admissions taxes on your events.
5. Your content
You keep ownership of everything you upload — your profile, photos, audio and video, riders, event listings, contracts and business records ("Your Content").
You grant tourQ a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display, and distribute Your Content only to operate and promote the services you have asked us to provide: rendering your profile and event pages, delivering your proposals and contracts to the counterparties you send them to, generating marketing assets you request, and producing tickets. This licence ends when you delete the content or your account, except for copies we must retain for records of completed transactions and for backups that expire on their normal cycle.
You confirm that you have the rights to everything you upload, including any music, artwork, photographs and trademarks, and that publishing it through tourQ does not infringe anyone else's rights.
6. Acceptable use
Do not use tourQ to:
- post anything unlawful, fraudulent, defamatory, harassing, or infringing;
- misrepresent who you are, who you represent, or your authority to book or contract;
- list an event you do not have the rights to present, or sell tickets to an event you do not intend to hold;
- scrape, bulk-export, resell or redistribute our venue, artist or market data outside your own use of the platform;
- reverse engineer the platform, interfere with its operation, probe its security, or circumvent access controls, usage limits or paywalls;
- access another user's workspace or data without authorization;
- use the platform to send unsolicited bulk messages in violation of anti-spam law; or
- automate access in a way that degrades the service for others.
We may suspend or remove content or accounts that breach this section.
7. Predictions, estimates and matching
A large part of tourQ produces estimates: expected attendance, market strength, projected ticket sales, artist scores, recommended capacity, and suggested artist-venue matches.
These are tourQ's good-faith best effort to connect artists and venues that are likely to be a good fit, calculated from incomplete, third-party and historical data. They are not promises, guarantees, representations or warranties of any kind — not of attendance, ticket sales, revenue, sell-through, booking outcomes, or the suitability, reliability or solvency of any artist, venue or producer we surface to you.
A match is a suggestion, not a recommendation, an endorsement, a vetting or an approval. We do not screen or verify the users we surface to you.
Every booking decision is yours. You are solely responsible for your own due diligence and for the terms you agree to. tourQ has no liability for any booking, offer, guarantee, ticket allocation or other commitment you make in reliance on any estimate, score, projection or match. If a figure matters to your decision, verify it independently before you rely on it.
Industry data on the platform — venue records, capacities, past shows, streaming and social metrics — is sourced from third parties and public listings and may be incomplete, out of date or wrong.
8. Third-party services
The platform connects to services operated by others, including Meta, Instagram, Spotify, Google, Mailchimp, Stripe and Plaid. Connecting them is your choice, your use of them is governed by their terms, and we are not responsible for their availability, their decisions, or changes they make to their APIs. If a third party restricts or removes our access, the related features may stop working.
9. Our intellectual property
The platform, its software, design, and the models and aggregated datasets behind its estimates are owned by tourQ and protected by intellectual property law. These Terms grant you a limited, revocable, non-transferable right to use the platform while your account is in good standing. They do not transfer any ownership to you.
Feedback you send us may be used freely and without obligation to you.
10. Suspension and termination
You may stop using tourQ and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if your use creates a legal or security risk, or if we are required to by law. We may also discontinue the service or any part of it, with reasonable notice where practical.
On termination, your right to use the platform ends. Provisions that by their nature should survive — sections 1, 7, 9, 11, 12, 13 and 14 — survive.
11. Disclaimers
The platform is provided "as is" and "as available." To the fullest extent permitted by law, tourQ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the platform will be uninterrupted, error-free, or that any estimate, listing or piece of third-party data is accurate.
We do not vet or endorse users. We do not guarantee that an artist will perform, that a venue will host, that an event will take place, or that anyone will pay what they agreed to pay.
12. Limitation of liability
To the fullest extent permitted by law, tourQ and its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost bookings, lost data, or loss of goodwill, arising out of or relating to your use of the platform, on any theory of liability, even if we have been advised of the possibility.
This exclusion applies to any loss arising from a booking, guarantee or other commitment you made in reliance on an estimate, score, projection or match generated by the platform.
Our total aggregate liability for all claims relating to the platform will not exceed the greater of (a) the amounts you paid tourQ in subscription fees in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).
Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
13. Indemnification
You agree to indemnify, defend and hold harmless tourQ, Gigz Technologies Inc., and their affiliates, officers, directors, employees, contractors and agents (the "tourQ Parties") from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, judgments, settlements, fines, penalties, costs and expenses (including reasonable attorneys' fees and costs of defense) — whether brought by another user, a fan or attendee, a performer, a venue, a third-party service, or a regulatory or governmental authority — arising out of or relating to:
- your access to or use of the platform;
- Your Content, and anything you publish, send or upload through tourQ;
- any event you book, host, produce, promote or perform, including anything that occurs at it: personal injury, property damage, cancellation, postponement, or failure to perform;
- any agreement, offer, proposal, guarantee or settlement you enter into with another user;
- any tickets you sell, any refund you owe, and any chargeback or payment dispute arising from them;
- any booking or financial decision you make, including one made in reliance on any estimate, score, projection or match described in section 7;
- your infringement or misappropriation of any intellectual property, publicity or privacy right; and
- your breach of these Terms or of any applicable law, including tax, consumer-protection, ticketing, accessibility and anti-spam law.
We will notify you of any claim subject to this section. We may assume exclusive control of the defense and settlement of any such claim at your expense, in which case you agree to cooperate with us. You may not settle any claim in a way that imposes any obligation, payment or admission on a tourQ Party without our prior written consent.
This obligation survives the termination of your account and of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and tourQ agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to any separate arbitration agreement between us.
Before filing, please contact us — most disputes can be resolved directly.
15. Changes to these Terms
We may update these Terms. We will post the revised version here with a new "last updated" date, and where a change is material we will give notice through the platform or by email before it takes effect. Continuing to use tourQ after a change takes effect means you accept it.
16. General
These Terms, together with the Privacy Policy and any policies referenced in them, are the entire agreement between you and tourQ about the platform. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
